UFIT Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the app.ufit.ai website (the "Service") operated by UFIT Inc ("UFIT," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

You warrant that you are at least 18 years of age and legally capable of entering into binding contracts. If you are under 18 years of age, you warrant that you have obtained consent from your parent or guardian, and they agree to be bound by these Terms on your behalf.

If you wish to purchase any product or service made available through the Service, you may be asked to supply certain information relevant to your purchase, including:

• Credit card number and expiration date
• Billing address
• Shipping information

You represent and warrant that: You have the legal right to use any credit card(s) or other payment method(s) in connection with any purchase The information you supply to us is true, correct, and complete

By submitting payment information, you grant us the right to provide this information to third parties for purposes of facilitating the completion of purchases.

We reserve the right to refuse, change, or cancel your order at any time for reasons including, but not limited to:

• Product or service availability
• Errors in product or service description or pricing
• Errors in your order
• Suspected fraud or unauthorized/illegal transactions

The Service is not designed to provide qualitative advice regarding the fitness for purpose or merchantability of any products or services. We strongly advise you to exercise caution and conduct your own due diligence when making transactions through the Service.

All new memberships will be billed immediately upon signup. Your renewal date for subsequent months will be clearly listed at checkout and in your welcome email.

If you wish to cancel your subscription, you must do so at least 7 days prior to the next scheduled renewal date to avoid charges. You may cancel your subscription via:

Please note: If you cancel your membership, you will not be eligible for a prorated refund of any portion of the membership fee paid for the current membership period.

All pricing is in United States dollars (USD).

USA Customers: Your total price includes the membership fee plus any applicable sales tax. State and local sales tax is based on your address and the sales tax rate in effect at the time of purchase. We charge tax only in states where fitness memberships sold over the internet are taxable.

International Customers: Additional shipping, taxes, and customs charges may apply to your store purchases and will be charged to your account. We make no representation that materials on the Service are appropriate or available for use outside the United States. If you choose to access this Service from outside the United States, you do so at your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

It is your responsibility to carefully check the ingredients in each product available in the UFIT store. UFIT Inc, its partners, directors, and staff cannot be held responsible for allergies or special dietary requirements.

Our aim is to ensure every member is satisfied with their membership experience, store purchases, and overall UFIT experience. If you have any problems with your membership or products and are not completely satisfied, please contact our team at info@ufit.ai. Our support team will address your concerns and, when reasonable, fix or exchange items.

Our fitness membership is designed to provide an exciting and comprehensive wellness experience for our valued members. Each membership includes carefully curated benefits, handpicked by our team of fitness experts. The member store selection is an integral part of the membership experience, intended to bring quality and value with every purchase.

UFIT reserves the right to accept, decline, or limit the use of any coupon(s). UFIT may limit the quantity of coupons and/or items purchased in a single transaction, by a single member, or in a single day.

Coupon limitations:

• Maximum of one (1) coupon per membership, cart, and user
• Limited to redemption from products currently available in the member store
• Accepted at face value only
• Expired coupons will not be accepted

Shipping and Risk of Loss: Merchandise purchased from our member store will be shipped by a third-party carrier. Title and risk of loss or damage for such merchandise will pass to you upon our delivery to the carrier.

Missing or Damaged Shipments:

• Must be reported within 30 days of shipping to qualify for replacement or refund (based on product availability)
• Damaged items must be reported within 14 days of delivery with photographic evidence
• If the product is available, a replacement will be shipped; refunds will not be issued
• Damaged items will be reviewed by support agents; replacements issued only for damaged products, not packaging
• Blemishes to packaging are not considered damage
• All refunds are at the discretion of customer support

Incorrect Shipping Addresses: We maintain a zero refund policy for orders shipped to incorrect addresses. It is your responsibility to ensure that shipping addresses are accurate and up-to-date at the time of purchase. In cases where an order is shipped to an incorrect address and subsequently returned to us, we are unable to issue a refund. This policy is necessary to mitigate costs, time, and effort associated with processing returned packages and to avoid potential product damage during return transit.

We continuously update our product and service offerings on the Service. Products or services available may be mispriced, described inaccurately, or unavailable. We may experience delays in updating information on the Service and in our advertising on other websites.

We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.

The content is provided without warranties or conditions of any kind, either express or implied, including but not limited to implied warranties and conditions of merchantability, fitness for a particular purpose, or non-infringement.

Any contests, sweepstakes, or other promotions (collectively, "Promotions") made available through the Service may be governed by rules that are separate from these Terms. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply.

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account.

You are responsible for:

• Safeguarding the password you use to access the Service
• Any activities or actions taken under your password, whether on our Service or a third-party service
• Notifying us immediately upon becoming aware of any security breach or unauthorized use of your account

You agree not to disclose your password to any third party. You agree to be fully responsible for activities that relate to your account or password.

Username Requirements: You may not use as a username:

• The name of another person or entity that is not lawfully available for use
• A name or trademark subject to the rights of another person or entity without appropriate authorization
• A name that is offensive, vulgar, or obscene

The Service and its original content, features, and functionality are and will remain the exclusive property of UFIT Inc and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of UFIT Inc. Nothing in these Terms constitutes a transfer of any intellectual property rights from us to you.

Our Service may contain links to third-party websites or services that are not owned or controlled by UFIT. UFIT has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You further acknowledge and agree that UFIT shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We provide links to external websites as a convenience only, and the inclusion of such links does not imply our endorsement of those websites. You acknowledge and agree that when you access other websites on the Internet, you do so at your own risk.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

We may terminate or suspend your account or membership immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We shall not be liable to you or any third party for any claims or damages arising out of any termination or suspension or any other actions taken by us in connection therewith.

If applicable law requires us to provide notice of termination or cancellation, we may give prior or subsequent notice by posting it on the Service or by sending a communication to any address (email or otherwise) that we have for you in our records.

As a condition of your access to and use of the Service, you agree to indemnify us and our successors and assigns for all damages, costs, expenses, and other liabilities, including but not limited to legal fees and expenses, relating to any claim arising out of or related to:

In no event shall we be liable for any indirect, punitive, special, incidental, or consequential damage (including loss of business, revenue, profits, use, privacy, data, goodwill, or other economic advantage) however it arises, whether for breach of contract or in tort, even if we have been previously advised of the possibility of such damage.

We do not endorse any products and services and expressly disclaim any and all liability in connection with them. In no event shall we be liable for any claims by a third party in tort or contract, or pursuant to applicable consumer protection laws, including, but not limited to, any misleading statements made and/or incorporated into any content provided by third parties, such as manufacturers and wholesalers, and users of the Service. It is your sole responsibility to ensure the accuracy of the data inputted.

You have sole responsibility for adequate security protection and backup of data and/or equipment used in connection with your usage of the Service and will not make a claim against us for lost data, re-run time, inaccurate instruction, work delays, or lost profits resulting from the use of the Service.

Without limiting the foregoing, in no event will our aggregate liability to you exceed, in total, the amounts paid by you to us.

The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

UFIT, its subsidiaries, affiliates, and licensors do not warrant that: a) The Service will function uninterrupted, secure, or be available at any particular time or location b) Any errors or defects will be corrected c) The Service is free of viruses or other harmful components d) The results of using the Service will meet your requirements

This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft, destruction, unauthorized access, alteration, or use of record in connection with the use or operation of the Service, whether for breach of contract, tortious behavior, negligence, or any other cause of action.

We make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability with respect to the content contained on the Service for any purpose. Any reliance you place on such information is therefore strictly at your own risk. We disclaim any express or implied warranty, representation, or guarantee as to the effectiveness or profitability of the Service or that the operation of our Service will be uninterrupted or error-free. We are not liable for the consequences of any interruptions or errors in the Service.

These Terms shall be governed and construed in accordance with the laws of New Jersey, USA, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

It is your sole responsibility to periodically check these Terms for any changes. If you do not agree with any of the changes to these Terms, it is your sole responsibility to stop using the Service. Your continued use of the Service will be deemed as your acceptance thereof.
